The increasing governance demands on Australian not-for-profits
Nearly half of NFP directors, often giving their time freely, now spend more than three days a month on a single board. A growing number say the role has stopped being oversight and become more operational. Boards rarely struggle because directors don't understand governance. They struggle because there isn't enough time or resources to manage the amount of governance and regulatory requirements that needs to be done between meetings. A second pressure is that more NFPs are merging, proactively joining forces to become stronger.
Stretched boards making bigger decisions with less rigour isn't a strategy problem. It's a capacity problem, and a solvable one. Links to both pieces in the comments.
